Dubai mainland company formation requires a confirmed activity and legal form, initial approval, acceptable premises and final licensing. Full foreign ownership, or 100%, is possible subject to the strategic-activity exception. Initial approval alone does not permit trading. These are the Ministry of Economy and Tourism's formation requirements and ownership principle, as of October 2026.

The table follows the ministry's mainland sequence, cross-checked against the UAE Government's mainland formation guide, as of October 2026. DET means Dubai's Department of Economy and Tourism, the local economic authority. Stages are grouped for readability; an activity's regulator may require approval earlier in the process.

What is a mainland licence in Dubai?

A mainland licence authorises the approved business activity through the emirate's economic licensing system. For Dubai, the official starting point is Invest in Dubai's mainland company page. The activity and legal form determine the application, according to the ministry and UAE Government formation guide, as of October 2026.

The activity describes the work the business will perform. The legal form describes how the business is constituted. A trade name identifies it. These are different fields in the formation process, so a chosen name does not settle the permitted work or ownership structure.

The separate free-zone company setup guide explains formation under a free-zone authority. Its workspace or package conditions belong to that authority's route. This page follows the mainland process; neither label alone settles a particular activity's permissions.

For a founder relocating with a household, the business address also affects the housing search. A confirmed workplace gives the home search a commute destination. The home budget and the commercial premises budget can then be assessed separately.

The legal form must match the business activity, according to the UAE Government guide, as of October 2026. Describing a business as consulting, trading or online selling is the starting description; the application needs the authority's corresponding activity classification.

The ministry's sequence, as of October 2026, puts activity selection before legal structure. It lists forms including a sole establishment, civil company, limited liability company, or LLC, and branches. An LLC is a company formed with limited liability; a branch is a route for an existing company. The list does not establish which form is available for a particular founder and activity.

A useful application record therefore contains the exact activity description, permitted legal form, proposed owners, ownership eligibility, premises conditions and any external approval. This is an editorial worksheet for keeping the authority's answers together.

Constitutional work follows that confirmed form. A Memorandum of Association, or MOA, is the company's founding agreement; the ministry specifically includes LLCs among forms requiring one, as of October 2026. Its process places a local service agent agreement, or LSA, under sole proprietorship. An LSA documents a service-agent appointment and is distinct from share ownership. The requirement must be established for the actual form with DET and a licensed legal professional; it is not a universal condition inferred from foreign ownership.

For the trade name, the UAE Government guide requires compatibility with the activity and legal form, compliance with naming conditions, and a name not already registered, as of October 2026. Trade-name registration and trademark registration are separate processes. The name certificate is therefore only one part of the formation file.

Can a foreigner own a Dubai mainland company outright?

Full foreign ownership is possible, with an exception for activities having strategic impact, according to the Ministry of Economy and Tourism's ownership guidance, as of October 2026. That principle does not make every activity unrestricted.

Ownership eligibility, the permitted legal form and sector approval are separate questions. A confirmation that foreign ownership is permitted does not itself establish that the proposed premises are acceptable or that a regulated activity may begin.

For the relocating founder, the meaningful record is the authority's confirmation for the exact activity and structure. This guide does not reproduce an exception list or assign an Emirati partner or local service agent to every foreign-owned LLC.

What does initial approval mean, and can the company operate?

Initial approval means the government has no objection to establishing the business and allows formation to continue; it does not permit operation. Both the ministry and UAE Government guide state this distinction, as of October 2026.

The initial-approval receipt belongs in the final licensing file. The remaining work can include constitutional documents, an acceptable registered tenancy and activity-specific approvals. The UAE Government also notes that some activities require outside approval before initial approval, so the sequence has dependencies rather than a universal order for every regulator.

For example, a founder holding an initial-approval receipt still has to complete the premises and final-document stages applicable to the application. A proposed trading start date therefore cannot be established from that receipt alone.

The ministry's final document list, as of October 2026, includes the initial-approval receipt and previously submitted documents, an attested lease copy, the MOA where required, and other government approvals where required. The licence follows completion of the applicable requirements and payment.

Is an office or Ejari required for mainland company formation?

The standard mainland process requires a physical business address, and Dubai office or warehouse tenancy contracts must be registered through Ejari. The ministry's premises guidance and UAE Government guide support both points, as of October 2026.

The address must meet the economic authority's requirements and the planning or zoning rules of the relevant municipality or competent authority. A tenancy contract records occupancy. Its registration does not, by itself, answer whether the intended business use meets those requirements.

The practical premises questions are specific: does this unit accommodate the selected activity, which tenancy evidence does the application require, and does another authority need to approve the site? The general formation pages do not establish a universal minimum floor area, desk entitlement or visa allocation. A shared-office, home-address or other special arrangement needs confirmation under its own licensing conditions.

For the household move, a residential Ejari records the home's tenancy. It does not establish that the business may operate there. Keeping the home and business files distinct also makes the cash commitments clearer: the commercial lease supports the business application, while the home search weighs school access, daily travel and household rent.

How much does mainland company formation in Dubai cost?

The cost depends on the confirmed activity, legal form, premises and approvals; this guide does not assign an all-in setup or renewal price. The ledger below translates the ministry's formation sequence into quotation fields, as of October 2026. It is a worksheet, not an official tariff.

Source: withlida.com, 20 October 2026. Editorial ledger based on the ministry and UAE Government formation guides, Dubai residency authority GDRFA's establishment-card service, federal identity authority ICP's residence service and Central Bank customer-due-diligence guidance. All amounts are quote-dependent.

A usable total includes the confirmed charges for the named formation scope, the premises cash due and any separately selected relocation services. Refundable deposits remain identifiable rather than being described as consumed fees. No numerical total is meaningful until the relevant amounts and inclusions have been supplied.

The renewal column needs its own quote. A first-issuance discount, a document-drafting charge and ongoing rent have different purposes; the initial invoice alone does not establish the next renewal's cost.

How does a founder complete the mainland setup process?

The founder's file progresses from a confirmed activity and form to initial approval, acceptable premises and the final licence. This hypothetical service-business example follows the ministry's mainland sequence, as of October 2026. It assumes the authority confirms the proposed LLC and ownership arrangement; it does not pre-approve a named activity.

  1. Confirm the proposed work and structure

The founder describes the intended services to the licensing authority. The application record identifies the accepted activity, LLC form, ownership conditions, premises requirements and any sector approvals. This gives the business-address search a defined use.

  2. Reserve the name and obtain initial approval

The founder submits the required application documents, completes the name stage and obtains the initial-approval receipt, including any approval needed beforehand. Formation continues; the receipt does not authorise service delivery.

  3. Complete the constitution and acceptable tenancy

The founder completes the LLC's MOA and the applicable attestation work. An office is assessed against the confirmed use and location conditions. For this rented-office example, the Dubai tenancy is registered through Ejari. The household's residential lease remains a separate file.

  4. Submit the completed licensing file

The file brings together initial approval, previously submitted documents, the required lease, constitution and any external approvals. The founder pays the itemised charges and receives the licence through the relevant economic department channel. The ministry's sequence also includes Chamber registration in the incorporation emirate.

  5. Continue the separate relocation and operating applications

The founder proceeds with the applicable immigration and personal residence processes, a bank's account assessment and the tax registration applicable to the entity. The next section identifies those separate records; the licence does not establish their outcomes.

The example has no assumed approval duration. The questions determining readiness are whether the activity and structure have been confirmed, the premises accepted, the required approvals obtained and the final licence issued.

What follows mainland licence issuance?

Licence issuance is followed by the applicable company, immigration, banking and tax steps, each with its own evidence. The ministry includes Chamber registration in its sequence, as of October 2026. A completed file identifies whether that registration is already included in the transaction.

Immigration and personal residence. GDRFA, Dubai's residency and foreigners-affairs authority, provides a separate establishment-card service for private-sector institutions, as of October 2026. The card is the business's immigration record. The founder's residence route remains a personal application. ICP's residence service, as of October 2026, links residence issuance to an Emirates ID application and lists requirements by category. Residence, ID and medical services where applicable belong in their own quoted scope; Dubai route details need confirmation with GDRFA.

Banking. A business account requires a separate bank assessment. The Central Bank's customer-due-diligence guidance, as of October 2026, covers company identity, beneficial owners, the people who ultimately own or control the business, the office address, constitutional documents and the account's intended purpose. A licence supplies evidence for that assessment, without settling approval or timing.

Tax. The Federal Tax Authority, or FTA, has a separate corporate-tax registration service, as of October 2026. Its application uses EmaraTax, the FTA's online tax platform, and requests entity and authorised-signatory documents. Registration and tax treatment depend on the person or entity and the applicable conditions. The UAE corporate-tax guide explains the company and individual-business distinctions. A formation invoice does not establish a universal tax exemption.

For the move itself, the business file and household file now have different milestones: acceptable commercial premises and licensing evidence on one side, personal residence and a suitable home on the other. Keeping both visible makes the workplace-to-home commute and the separate rent commitments easier to assess.

FAQs checked: 20 October 2026.

How much does it cost to set up a mainland company in Dubai?

There is no single total established by this guide. The quote needs the exact activity, legal form, licensing charges, constitutional work where applicable, premises and Ejari, sector approvals and separately scoped relocation services. The ledger follows the ministry's process, as of October 2026; each amount remains quote-dependent.

Can a foreigner own 100% of a mainland company in Dubai?

Full ownership is possible subject to the strategic-impact exception in the ministry's ownership guidance, as of October 2026. The particular activity and legal form still need confirmation. A universal local service agent requirement for every foreign-owned LLC is not inferred.

What is the difference between a mainland and free-zone company?

They use different formation and licensing frameworks. This page follows the economic-department mainland sequence in the ministry's guidance, as of October 2026. A free-zone authority's package or workspace conditions do not establish the requirements for a mainland application.

Can a free-zone licence be used for mainland business?

The answer requires confirmation of the exact activity, proposed work and applicable permissions with the relevant authorities. A free-zone licence alone is not treated here as proof that the mainland work is authorised. The ministry's formation guidance, as of October 2026, describes the mainland and free-zone processes separately; it does not settle every cross-jurisdiction arrangement.

Can a founder start trading after initial approval?

Initial approval permits formation to continue and does not authorise operation, according to the UAE Government's mainland guide, as of October 2026. The applicable final licensing and activity approvals still have to be completed.
